1. Acceptance of Terms

By accessing or using any service provided by Juzt Call LLC Portal ("Company", "we", "us", or "our"), you confirm that you have read, understood, and agree to be bound by these Terms of Service and all applicable laws and regulations of the United Arab Emirates. If you do not agree to these terms, you must not use our services.

These terms apply to all clients, visitors, and users who access or use our portal, website, and related services. We reserve the right to update these terms at any time. Continued use of our services after any modification constitutes your acceptance of the revised terms.

2. Our Services

Juzt Call LLC Portal provides e-commerce enablement and marketplace management services including, but not limited to:

• Marketplace seller account creation and activation on platforms such as Amazon UAE, Noon, Carrefour, Talabat, and others.
• Product cataloguing, category approvals, and content creation.
• Marketplace dashboard handling, inventory management, and order processing support.
• Product photography and visual content production.
• AI automation for customer care, sales, and social media management.
• Onboarding consultation and ongoing account management.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time. We will endeavour to provide reasonable advance notice for any material changes affecting active client engagements.

3. Your Account & Responsibilities

When you engage our services, you agree to provide accurate, current, and complete information about yourself and your business. You are responsible for:

• Ensuring all business documents, trade licences, and credentials provided to us are valid and authentic.
• Maintaining the confidentiality of any portal login credentials or shared accounts.
• All activities that occur under your account or in connection with your marketplace seller profiles.
• Promptly notifying us of any unauthorised use of your account or any other breach of security.
• Complying with the policies and terms of service of each marketplace platform we manage on your behalf.

4. Payment & Fees

Our service fees are as outlined in the specific proposal, package, or agreement provided to you. By engaging our services, you agree to the following payment conditions:

• All fees are quoted and payable in UAE Dirhams (AED) unless otherwise stated in writing.
• Payment is due within the timeframe specified in your service agreement or invoice.
• We accept credit and debit cards from UAE banks. Instalment payment options may be available via third-party providers.
• Late payments may result in suspension of services until the outstanding balance is settled.
• All fees paid for services already rendered are non-refundable unless otherwise stated in our Refund Policy.

We reserve the right to revise our pricing with 30 days' written notice to active clients.

5. Intellectual Property

All content, materials, tools, and methodologies developed by Juzt Call LLC Portal — including but not limited to written content, design templates, AI workflows, automation scripts, and process documentation — remain the intellectual property of the Company unless explicitly assigned to you in a separate written agreement.

You retain full ownership of your brand assets, product imagery, and proprietary business information that you provide to us. By sharing such assets, you grant us a limited, non-exclusive licence to use them solely for the purpose of delivering the agreed services.

6. Acceptable Use

You agree not to use our services for any unlawful purpose or in any way that could harm Juzt Call LLC Portal, its staff, or other clients. Prohibited activities include:

• Selling counterfeit, restricted, or prohibited products on any marketplace platform.
• Providing false or misleading information about your business or products.
• Using our services to engage in any activity that violates UAE law or the terms of any marketplace platform.
• Attempting to reverse-engineer, copy, or replicate our proprietary tools, workflows, or automation systems.
• Engaging in any activity that could result in the suspension of your marketplace accounts due to policy violations.

We reserve the right to immediately suspend or terminate services if we determine, in our sole discretion, that you are in violation of these acceptable use conditions.

7. Limitation of Liability

To the maximum extent permitted by applicable UAE law, Juzt Call LLC Portal shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or business opportunities — arising from or in connection with your use of our services.

Our total liability in any matter related to the services shall not exceed the total fees paid by you to us in the three months immediately preceding the event giving rise to the claim.

We do not guarantee specific sales outcomes, marketplace ranking positions, or revenue targets. Marketplace platform decisions, account suspensions, or policy changes made by third-party platforms fall outside our control and responsibility.

8. Termination

Either party may terminate a service engagement by providing written notice as specified in the relevant service agreement. Upon termination:

• You remain liable for all fees incurred up to and including the date of termination.
• We will return or transfer any marketplace account credentials and materials belonging to you within a reasonable timeframe.
• Any work in progress at the time of termination may be subject to pro-rated charges.
• Provisions relating to intellectual property, liability limitations, and governing law will survive termination.

9. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the United Arab Emirates, specifically the laws applicable in the Emirate of Dubai. Any disputes arising from or related to these terms or our services shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.

We encourage clients to first attempt to resolve any disputes directly with us through our customer support channels before initiating formal proceedings.
